Governance of State-Owned Enterprises in the MENA Region: Synthesis and Cross-cutting Findings of SOE Governance Reviews of Six Countries

Abstract
This report is part of a World Bank review of state-owned enterprise (SOE) governance practices in the Middle East and North Africa (MENA) region. The focus on governance is motivated by research pointing to good governance as an important precondition for successful and sustainable SOE reform. This report summarizes findings of six SOE governance reviews of Djibouti, Egypt, Jordan, Morocco, Oman, and Tunisia, while also drawing on other regional studies. The six country reports, as well as this cross-cutting report, concentrate on the core dimensions of corporate governance of SOEs as identified in the Organization for Economic Co-operation and Development (OECD) Guidelines for Corporate Governance of SOEs, and the World Bank’s Integrated SOE Framework (iSOEF). These include: (i) the legal and regulatory framework for corporate governance; (ii) state ownership arrangements; (iii) performance management frameworks; (iv) Board structures and functioning; (v) financial reporting, accountability, control, and transparency; (vi) procurement policies and practices; and (vii) climate change reporting practices. The report also provides an overview of the SOE landscape in terms of the size, composition, employment, subsidies, and financial risks of the SOE sectors.

    Corporate Governance and Transparency of State-Owned and State-Linked Digital Enterprises in Africa

    This technical background paper sheds light on the corporate governance challenges faced by enterprises with national state shareholdings, specifically State-owned and State-linked Enterprises (SOE-SLEs), operating within Africa's digital sector. State participation in digital infrastructure and services remains widespread in Africa with more than 160 State-owned and state-linked enterprises (SOE-SLEs). Analysis of 44 digital companies with state participation from 18 countries reveals a need to improve corporate governance frameworks and practices to better fit best international practices in line with their national requirements. Moreover, a significant portion of the reviewed companies, out of the 162 identified, lacks transparency in disclosing non-financial information about their management, policies, and corporate governance structures. Alarmingly, less than a fifth of these companies publish their annual reports or financial statements on their websites, underscoring the imperative for improved transparency and accountability measures within Africa's state-owned and state-linked digital enterprises.

    This technical background paper delves into the role and importance of state-owned enterprises (SOEs) within Africa's digital economy, along with the potential risks they pose to competition and market dynamics. Drawing upon new data on selected SOEs, the analysis focuses on the presence of SOEs and the competitive landscape within digital infrastructure, mobile, wireless, international calling, and data markets. While the policy and regulatory framework have progressed towards fostering more open markets, various aspects remain on the policy agenda. Governments stand to benefit from reassessing the policy and regulatory frameworks governing SOE operations and determining the most effective means to establish and uphold a level playing field for all market participants, be they public or private entities.

    Governance in State-Owned Enterprises Revisited : The Cases of Water and Electricity in Latin America and the Caribbean

    This paper studies the governance structure of state-owned enterprises in the water and electricity sectors of Latin America and the Caribbean. Through a unique dataset, the paper compares 44 leading state companies of the region based on an aggregate measure of corporate governance and six salient aspects of their design: board, chief executive officer, performance orientation, management, legal framework, and transparency/disclosure. The results indicate the need for improvement in areas such as the selection and appointment of directors to the board and the performance-orientation of the enterprises. The paper also highlights the importance of discussing the management of state-owned enterprises in the wider context of public sector governance, with particular focus on accountability. Moreover, it recognizes the role of accountability as central in the management of state-owned enterprises, recommending a better understanding of regulation and performance management. The paper finds a positive correlation between corporate governance and the utilities' performance. Among the different aspects of corporate governance, performance orientation and professional management seem to be the highest contributors to well-performing state-owned enterprises. State-owned enterprises in the electricity sector show higher governance levels than those in the water sector.

    Corporate Governance of State-Owned Enterprises in Latin America : Current Trends and Country Cases

    The main objective of this report is to provide a descriptive analysis of the current practices and trends of corporate governance of State-owned Enterprises (SOEs) in several Latin-American countries. It provides practitioners of SOE corporate governance with a stocktaking of current practices and trends in several Latin American countries, as well as international experiences and good practices elsewhere. This report intend to contribute to the discussion and growing interest on SOE corporate governance and to provide an impulse for further analytical work in this area. In most Latin American and Caribbean countries, the SOE sector contributes significantly to GDP and represents an important part of consolidated public expenditures. In several cases, the SOEs are also key and strategic actors in the country s economy providing essential goods and services and frequently hold a dominant market position in critical sectors, such as petroleum, electricity, and transportation. They also operate in competitive markets such as financial services, telecommunications, etc. SOEs are also increasingly under pressure, by both their governments and by international competition, to operate and achieve their goals more efficiently and effectively. Within this context, achieving good corporate governance practices is critical to SOEs effectively providing goods and services and achieving their short-, medium-, and long-term goals, within a sustainable fiscal framework. This report has been prepared with the direct collaboration of government officials involved in the SOE sectors of eight countries in Latin America and the Caribbean, and Spain. It is mainly based on financial information and other relevant data on the above-mentioned countries, covering the period from 2010 to 2013. As part of data collection for the report, representatives of the SOE sectors in Brazil, Chile, Colombia, Dominican Republic, Mexico, Panama, Paraguay, Peru, Spain and Uruguay, attended the Technical Workshop on SOE Supervision in Latin American and Caribbean Countries, organized by the SOE Monitoring Unit of Paraguay and the World Bank in December 2011 in Punta del Este, Uruguay.

    Ukraine : System of Financial Oversight and Governance of State-Owned Enterprises

    The report focuses on the system of financial oversight and governance of state-owned enterprises in Ukraine. State-owned enterprises (SOEs) continue to represent a significant share of Ukraine's economy, and play a dominant role in sectors such as rail, transport, utilities, energy and telecommunications. These enterprises play an important role for the government by remitting dividend payments to the national treasury to fund the country's development agenda. At the same time, these same enterprises government receive fiscal support through a transfer of budgetary resources, issuance of guarantees for enterprise debt, facilitation to lines of credit, and other financial instruments. Ukraine's SOE sector has a wide range of ownership and management schemes. The basic legal framework for SOE oversight, defined in the Commercial Code of Ukraine, provides for the delegation of responsibilities across several ministries/agencies. As a result, there are overlapping roles across different government institutions, and gaps with regard to active monitoring and oversight. In practice, the SOE oversight function of the line ministries is primarily exercised through a review of the reports submitted by the SOEs on the implementation of financial plans. However, the review is typically light, and its efficiency is undermined by the limited clarity of the operating objectives for SOEs, and limited usefulness of the performance management framework. Moreover, the underlying data used to measure performance indicators is not validated and its reliability is uncertain. Even though the current performance management framework can be improved, performance evaluations are not conducted for a substantial number of SOEs which seriously undermines the effectiveness of oversight.

    Business Ready (B-READY) is a new World Bank Group corporate flagship report that evaluates the business and investment climate worldwide. It replaces and improves upon the Doing Business project. B-READY provides a comprehensive data set and description of the factors that strengthen the private sector, not only by advancing the interests of individual firms but also by elevating the interests of workers, consumers, potential new enterprises, and the natural environment. This 2024 report introduces a new analytical framework that benchmarks economies based on three pillars: Regulatory Framework, Public Services, and Operational Efficiency. The analysis centers on 10 topics essential for private sector development that correspond to various stages of the life cycle of a firm. The report also offers insights into three cross-cutting themes that are relevant for modern economies: digital adoption, environmental sustainability, and gender. B-READY draws on a robust data collection process that includes specially tailored expert questionnaires and firm-level surveys. The 2024 report, which covers 50 economies, serves as the first in a series that will expand in geographical coverage and refine its methodology over time, supporting reform advocacy, policy guidance, and further analysis and research.

    Tobacco and Alcohol Excise Taxes for Improving Public Health and Revenue Outcomes

    Excise taxes on alcohol and tobacco have long been a dependable and significant revenue source in many countries. More recently, considerable attention has been paid to the way in which such taxes may also be used to attain public health objectives by reducing the consumption of products with adverse health and social impacts. Some have gone further and argued that explicitly earmarking excise taxes on alcohol and tobacco to finance public health expenditures—marrying sin and virtue as it were—will make increasing such taxes more politically acceptable and provide the funding needed to increase such expenditures, especially for the poor. The basic idea—tax “bads” and do “good” with the proceeds—is simple and appealing. But designing and implementing good “sin” taxes is a surprisingly complex task. Earmarking revenues from such taxes for health expenditures may also sound good and be a useful selling point for new taxes. However, such earmarking raises difficult issues with respect to budgetary rigidity and political accountability. This note explores these and other issues that lurk beneath the surface of the attractive concept of using increased sin excises on alcohol and tobacco to finance “virtuous” social spending on public health.

    Growth in the Middle East and North Africa

    This issue of the MENA Economic Update presents a summary of recent macroeconomic trends, including an update of the conflict centered in Gaza and its regional spillovers, alongside an analysis of factors that shape the long-term growth potential of the region, with special attention to the persistent effects of conflicts. A modest uptick in growth is forecast for 2024, which nonetheless masks important disparities within the region. The acceleration is driven by the high-income oil exporters, while growth is expected to decelerate among developing MENA countries, both developing oil exporters and developing oil importers. Despite current challenges, the region can dramatically boost growth by better allocating talent in the labor market, leveraging its strategic location, and promoting innovation. Closing the gender employment gap, rethinking the footprint of the public sector, and facilitating technology transfers through trade under enhanced data quality and transparency can help the region leap toward the frontier. Peace is a pre-condition for catching up to the frontier, as conflict can undo decades of progress, delaying economic development by generations.

    Unlocking Electric Mobility Potential in MENA

    There is an urgency to scale up the electrification of transport amongst the worldwide efforts towards energy transition and decarbonization. Electric mobility, or e-mobility, has become one of the rapidly developing opportunities to contribute to nations’ climate and development goals, including climate change mitigation, fiscal burden reduction (for oil importing economies), energy efficiency, sustainability, air quality improvement, and promoting modal shift where applicable (e.g. expanding access to electrified public transport). For a region featuring diverse urban settings like the Middle East and North Africa (MENA), different local circumstances lead to different rationales for adopting various modalities of e-mobility. Considering relatively little attention being paid to public transport electrification in MENA, this study, “Unlocking Electric Mobility Potential in MENA” funded by the ESMAP, MOLO and PPIAF trust funds, set out to examine the opportunities and challenges and finding solutions to help address this gap.
